演藝人員與演藝經紀人之間普遍存在:使用由演藝經紀人所提供之定型化契約造成雙方權利義務不對等、演藝經紀人脅迫演藝人員從事非契約內規定之工作項目以及因忠實關係伴隨而來,忠實義務人濫用權力之可能等問題。面對實務上之糾紛,我國法律並未有明確之解決辦法,過往亦未對兩者間之法律關係有所研究。本文由參考美國加州藝人經紀人法案(The Talent Agencies Act)以及美國紐約執業經紀人管理規則(New York’s Employment Agent Regulation)出發,提出對我國建立演藝人員經紀之法制之建議:包含歸納演藝經紀人與演藝人員間之權利義務,於民法債編增設「經紀」為新型契約類型,暨而成立主管機關並發佈「演藝經紀人管理辦法」,限制演藝經紀人之資格,另外亦試擬「演藝經紀契約」,希冀於立法窒礙難行之情況下能提供給雙方當事人作為訂定契約之參考範本,期能因此有效解決實務上之困境。
In the entertainment industry, the contract between the agent and the artist is oftentimes a standardized contract drafted by the agent. As a result, conflicts tend to arise between the two parties such as, the inequality of rights and responsibilities between the agent and the artist, an agent''s coercion towards the artist into performing duties not written in the contract, and the agent''s abuse of power in the fiduciary relationship between the agent and the artist. Currently, the laws and regulations of our country do not provide practical solutions to such conflicts, nor has there been any studies or research made towards the legal relationship between the two parties. With reference to "The Talent Agencies Act" and "New York’s Employment Agent Regulation" in the United States of America, this paper proposes suggestions to construct a legal system with regards to the agency of artists in our country in ways as follows: a) Including and summarizing the rights and responsibilities between the agent and the artist in the Civil Law - Obligations section while appending "Agency" as a new type of contract. current legal system. b) Enacting the "Talent Agency Regulation" legislation and establishing an administrative institution to implement such legislation. In addition, the institution must also restrict and regulate the qualifications of agents. c) Proposing and drafting the "Talent Agency Contract." Due to the consideration of the difficulties of enacting a legislation, it is perhaps more realistic to draft a sample contract for reference in the hope to provide efficient and practical solutions to the conflicts between the agent and the artist.
